    Terms of Service

    1. Acceptance of Terms

    By accessing, browsing, or using MegaManager ("the Service," "the Platform"), operated by MegaManager ("we," "us," "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Service. We reserve the right to update, modify, or replace these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days prior to taking effect. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

    2. Description of Service

    MegaManager is a WordPress site management platform that provides tools for monitoring, maintaining, and optimizing WordPress websites. Our services include, but are not limited to: site monitoring and health checks, uptime monitoring and alerting, performance analysis and optimization recommendations, plugin and theme update tracking and management, AI-powered copilot assistance for site management, automated and manual task management, cloud-based backup and restore capabilities, database optimization tools, security scanning and vulnerability detection, WooCommerce analytics, team collaboration and site sharing, and email notifications and reporting. The specific features available to you depend on your subscription plan.

    3. User Accounts

    To access the Service, you must create an account by providing accurate, complete, and current registration information. You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication methods. You are responsible for all activities that occur under your account, whether or not authorized by you. You must notify us immediately at info@wpmegamanager.com of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

    4. Site Connection & Access

    By connecting your WordPress sites to MegaManager via the MegaManager Connector plugin, you grant us permission to access your site's data and perform authorized management actions. This includes, but is not limited to: reading site metrics, server information, and configuration data; accessing plugin and theme information, including versions and update status; retrieving database statistics and performance data; executing management commands such as updates, cache clearing, and optimization tasks; and creating and managing backups. You represent and warrant that you have the legal authority and all necessary permissions to connect any sites you add to the Service. You are solely responsible for ensuring that your use of the Service complies with any agreements you have with your hosting provider or other third parties.

    5. Acceptable Use

    You agree not to use the Service to: (a) violate any applicable local, national, or international laws or regulations; (b) infringe upon or violate the intellectual property rights or privacy rights of others; (c) transmit harmful code, malware, viruses, or any destructive content; (d) attempt to gain unauthorized access to our systems, networks, or other users' accounts; (e) use the Service for any illegal, fraudulent, or unauthorized purpose; (f) interfere with or disrupt the proper functioning of the Service or its infrastructure; (g) reverse engineer, decompile, or disassemble any part of the Service; (h) use automated means (bots, scrapers) to access the Service beyond the provided API; or (i) resell, sublicense, or redistribute the Service without our prior written consent. Violation of this section may result in immediate suspension or termination of your account without prior notice.

    6. Subscription & Billing

    Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page at the time of purchase. All fees are quoted in USD unless otherwise stated. Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. You may cancel your subscription at any time through your account settings, and the cancellation will take effect at the end of the current billing period. Refunds are generally not provided for partially used subscription periods. Exceptions may apply where required by applicable law. We reserve the right to change our pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing. Failure to pay applicable fees may result in suspension or termination of your access to paid features.

    7. AI Features & Copilot

    The Service includes AI-powered features, including the Site Copilot, AI Task Bot, and automated task management capabilities. AI-generated suggestions, analyses, and recommended actions are provided on an "as-is" basis and may not always be accurate, complete, or suitable for your specific situation. You are solely responsible for reviewing, verifying, and approving any actions suggested or initiated by AI features before they are applied to your sites. Token usage limits apply based on your subscription plan, and additional AI credits may be purchased separately. We do not guarantee the availability, accuracy, or reliability of AI-generated content, and we shall not be liable for any damages resulting from reliance on AI suggestions or automated actions.

    8. Data & Backups

    While we strive to provide reliable backup and data management services, we do not guarantee the completeness, accuracy, or recoverability of backups. Backup availability and retention are subject to your subscription plan and selected backup settings. You are ultimately responsible for maintaining independent backups of your WordPress sites and their data. We strongly recommend maintaining your own backup strategy in addition to using our Service. We are not liable for any data loss, corruption, or inability to restore data that may occur, regardless of the cause.

    9. Limitation of Liability

    To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall MegaManager, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service. Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.

    10. Termination

    We reserve the right to suspend or terminate your account at any time, with or without prior notice, for violation of these Terms, abusive behavior, non-payment, or any other reason we deem appropriate at our sole discretion. You may terminate your account at any time through your account settings or by contacting us at info@wpmegamanager.com. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your data, including connected site data, backups, chat history, and account information, in accordance with our data retention policy; and (c) any outstanding fees remain due and payable. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to Sections 9, 11, and 19.

    11. Governing Law & Jurisdiction

    These Terms shall be governed by and construed in accordance with the laws of the Republic of Bulgaria. Any disputes arising out of or in connection with these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the competent courts of Bulgaria. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. If you are a consumer residing in the European Union, you may also have rights under the laws of your country of residence.

    13. Automated Actions & Remote Management

    The Platform is designed to perform both automated and user-triggered actions on connected WordPress sites, including but not limited to: plugin and theme updates, database optimizations, cache management, security actions, maintenance mode toggles, and other administrative operations. All such actions, whether initiated manually by you or automatically by the Platform, are performed entirely at your own risk. You are responsible for reviewing, understanding, and approving all actions before they are executed on your sites. MegaManager shall not be held liable for any issues, errors, downtime, data loss, site breakage, or any other adverse effects resulting from automated or remote management actions. We strongly recommend creating a full backup of your site before initiating any significant management action through the Platform.

    14. No Guarantee of Accuracy or Availability

    While we strive to provide accurate and timely monitoring data, uptime checks, performance metrics, security scan results, and other analytical information, we do not guarantee that such data will be 100% accurate, complete, or uninterrupted at all times. Monitoring data may be subject to delays, temporary unavailability, or inaccuracies due to network conditions, server load, third-party service disruptions, or other factors beyond our control. You acknowledge and agree that the Platform's monitoring and reporting features are provided for informational purposes and should not be relied upon as the sole source of truth for critical business decisions.

    15. Third-Party Services & Dependencies

    The Platform integrates with and depends upon various third-party systems, services, and technologies, including but not limited to: WordPress core software and its ecosystem, web hosting providers and server environments, third-party plugins and themes installed on your sites, external APIs and services used for monitoring, analysis, and AI capabilities, and payment processing services. MegaManager is not responsible for the availability, performance, security, or functionality of any third-party services. We shall not be liable for any issues, damages, or losses caused by changes to, failures of, or discontinuation of third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies.

    16. Security Responsibility

    You are solely responsible for maintaining the security of your own WordPress websites, hosting environments, and all associated credentials. This includes, but is not limited to: keeping WordPress core, plugins, and themes up to date; using strong, unique passwords and implementing appropriate access controls; securing your hosting environment and server configurations; regularly scanning for and addressing security vulnerabilities; and maintaining secure backup copies of your data. MegaManager is not liable for any security breaches, hacks, unauthorized access, data theft, malware infections, or other security incidents affecting your sites, whether or not the sites are connected to our Platform. While our security scanning features may help identify potential vulnerabilities, they do not constitute a comprehensive security solution and should not replace professional security audits.

    17. Data Processing & GDPR Compliance

    We process personal data in accordance with our Privacy Policy and in compliance with the General Data Protection Regulation (GDPR) and other applicable EU and national data protection laws. By using the Service, you acknowledge and agree that: (a) we collect and process personal data as described in our Privacy Policy, which forms an integral part of these Terms; (b) we act as a data processor with respect to the data on your connected WordPress sites and as a data controller with respect to your account data; (c) we implement appropriate technical and organizational measures to protect personal data; and (d) you have the right to request access, rectification, erasure, or portability of your personal data as outlined in our Privacy Policy.     18. Fair Use Policy

    Your use of the Platform's resources, including but not limited to AI features, automation tools, API access, backup storage, and monitoring checks, is subject to fair and reasonable use. Excessive, abusive, or disproportionate use of Platform resources that negatively impacts the Service's performance or availability for other users may result in: temporary rate limiting or throttling of your account, suspension of specific features, request to upgrade to a higher plan, or suspension or termination of your account. We reserve the right to define and enforce usage limits at our sole discretion, and we will endeavor to notify affected users before taking restrictive action, except in cases of severe abuse.

    19. Intellectual Property

    All intellectual property rights in the Service, including but not limited to the software, website, documentation, logos, trademarks, and all related content, are and shall remain the exclusive property of MegaManager and its licensors. These Terms do not grant you any right, title, or interest in the Service other than a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying software, nor may you reverse engineer or attempt to extract the source code, except where such restrictions are prohibited by applicable law.

    20. Modifications & Discontinuation

    We reserve the right to modify, suspend, or discontinue any part of the Service, temporarily or permanently, at any time and without prior notice. We may add, remove, or alter features, impose new usage limits, or change the technical requirements for using the Service. While we will make reasonable efforts to notify users of significant changes, we shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We encourage you to maintain independent backups of any data or configurations that are important to you.
